Listing rules and regulations

CE Enter Market is multilateral trading facility managed by the Zagreb Stock Exchange, Inc. and consists of the following segments:

  • CE Enter - Alter
  • CE Enter - Fortis
  • CE Enter - X
When investing in the financial instruments which are traded on the CE Enter Market, investors should take into account the following:
  1. The CE Enter Market is an alternative market managed by the Exchange.
  2. The main characteristic of the CE Enter Market are lower transparency requirements for the issuers and financial instruments compared to the regulated market and, consequently, a higher associated risk of investing in the financial instruments traded on the CE Enter Market.
  3. The Exchange provides a sufficient level of publicly available information on the financial instruments traded on the CE Enter Market to ensure orderly trading and pricing.
  4. The obligation to publicly disclose the information laid down in these Rules shall be performed by the person pursuant to whose application the financial instruments are admitted to trading on the CE Enter Market.
  5. The provisions of the CMA, other regulations and subordinated legislation adopted pursuant to such regulations concerning market abuse shall apply to trading on the CE Enter Market.

CRITERIA FOR ADMISSION OF FINANCIAL INSTRUMENTS IN TRADING ON THE CE ENTER MARKET
 
Financial instruments which may be traded on the CE Enter Market are those for which the Exchange has obtained authorization of the Agency or in respect of which such authorisation stems from the provisions of the CMA, specifically:

  1. shares or other securities equivalent to shares which represent a share in the capital or in shareholders' rights in a company, as well as depositary receipts;
  2. bonds and other types of securitised debt, also including depositary receipts related to such securities.

The application for admission to trading may be submitted by the issuer, a person authorised by the issuer and a member firm. Financial instruments may also be admitted to trading on the CE Enter Market pursuant to an Exchange resolution.
 
The CE Enter Market consists of the following segments:

  • CE Enter – Alter,
  • CE Enter – Fortis,
  • CE Enter – X.
 
CRITERIA FOR ADMISSION TO TRADING ON THE CE ENTER – ALTER
The financial instruments in respect of which an application for admission to trading on the CE Enter – Alter are submitted shall meet the following criteria:
  • financial instruments must be issued in accordance with the regulations that apply to them and must be freely transferable;
  • the legal position of the issuer of financial instruments must be compliant with the regulations of the Republic of Croatia or state of the issuer’s domicile;
  • financial instruments must be listed on another regulated market in the Republic of Croatia or a Member State or on a third country exchange meeting the same criteria as those laid down in the CMA concerning the operation of a regulated market;
  • financial instruments must be dematerialised;
  • an efficient transaction settlement must be provided in respect of the financial instruments.
The fact that bankruptcy or liquidation proceedings have been instituted against the issuer constitutes grounds for denial of the application for admission to trading on the CE Enter – Alter.
 
An applicant for admission of financial instruments in trading on the CE Enter – Alter shall enclose the following with the application:
  1. basic information about the issuer (e.g. company name, registered office and legal form of the issuer, significant investments, executive summary, significant litigation and other proceedings, risk factors, etc.);
  2. characteristics, quantity and description of the right arising from the financial instrument;
  3. proof that the financial instruments are listed on another regulated market in the Republic of Croatia or a Member State or on a third country exchange.
 
CRITERIA FOR ADMISSION TO TRADING ON THE CE ENTER – FORTIS
The financial instruments in respect of which an application for admission to trading on the CE Enter – Fortis are submitted shall meet the following criteria:
  • financial instruments must be issued in accordance with the regulations that apply to them must be freely transferable;
  • the legal position of the issuer of financial instruments must be compliant with the regulations of the Republic of Croatia or state of the issuer’s domicile;
  • financial instruments must be dematerialised;
  • an efficient transaction settlement must be provided in respect of the financial instruments;
  • at least 10% of the shares must be free float, if the application for admission to trading refers to shares.
The fact that bankruptcy or liquidation proceedings have been instituted against the issuer constitutes grounds for denial of the application for admission to trading on the CE Enter – Fortis.
 
An applicant for admission of financial instruments to trading on the CE Enter – Fortis shall enclose the following with the application:
  1. basic information about the issuer (e.g. company name, registered office and legal form of the issuer, significant investments, executive summary, significant litigation and other proceedings, risk factors, etc.);
  2. characteristics, quantity and description of the rights arising from the financial instrument;
  3. annual accounts for the financial year preceding the application for admission of financial instruments to trading, or semi-annual or quarterly accounts if the issuer has published semi-annual or quarterly accounts since the date of the latest accounts, whereby company must have actively operate at least one (1) year before an application for admission to trading is submitted;
  4. articles of association or incorporation agreement.
 
CRITERIA FOR ADMISSION TO TRADING ON THE CE ENTER – X
 
The financial instruments in respect of which an application for admission to trading on the CE Enter – X are submitted shall meet the following criteria:
  • financial instruments must be issued in accordance with the regulations that apply to them must be freely transferable;
  • the legal position of the issuer of financial instruments must be compliant with the regulations of the Republic of Croatia or state of the issuer’s domicile;
  • financial instruments must be dematerialised;
  • an efficient transaction settlement must be provided in respect of the financial instruments;
  • issuer of the financial instrument must be undergoing bankruptcy or liquidation proceedings.

 
An applicant for admission to trading on the CE Enter – X shall enclose the following with the application:

  1. basic information about the issuer (e.g. company name, registered office and legal form of the issuer, significant investments, executive summary, significant litigation and other proceedings, risk factors, etc.);
  2. characteristics, quantity and description of the rights arising from the financial instrument; and
  3. proof that the issuer of the financial instrument is undergoing bankruptcy or liquidation proceedings.
